The Company

AS Associates is the trading name of Actis Skillset Limited of The Old School House, 60 Langton Road, East Calder, EH53 0BW. Actis Skillset is registered in England, number 4732948.

AS Associates will ensure that services to be provided by the Company will be provided with reasonable care and skill and to the best of the ability of the Consultants engaged on the assignment.

The Company will maintain all appropriate insurance including professional indemnity insurance and produce evidence of this as required.

The Company will invoice the Client on completion of the assignment (unless stage payments have been agreed when invoices will be issued as each stage is completed).

The Company and all Consultants engaged on the assignment shall treat as secret and confidential any information relating to the client’s processes, business affairs or finances or any such information relating to a supplier or customer of the client where knowledge or details of the information was received during the period when the assignment was undertaken.

The Client

The Client will make all the necessary arrangements for the Company and consultants employed by the Company to have access to persons and premises to enable them to carry out the assignment expeditiously.

The Client shall pay to the Company all agreed fees (plus Value Added Tax) and invoices will be payable within 30 days following their submission.

Unless otherwise agreed, the Client shall reimburse the Company for travelling, hotel and other expenses reasonably incurred by it in the proper performance of its duties subject to the Company providing the Client with such receipts, vouchers or other evidence of actual payments of such expenses as the Client may reasonably require.

All invoice totals will become subject to the Late Payment of Commercial Debts (Interest) Act 1998 after 30 days.

The Client will respect the copyright attached to any documentation belonging to the Company. In particular all exercises or tests used by the Company in any assessment or development centre shall remain the property of the Company.
